THE SUPPLIER
- For the purposes of this agreement the word WDANZ (the Supplier) refers to "Web Developers Association of New Zealand Ltd" as Trustee of "The WDANZ Trust" (Company No: AK 1823637).
- WDANZ shall supply to the WDANZ Member a range of Membership options, networking and communications services and other services as advertised on www.wdanz.co.nz
- The WDANZ Member shall pay to WDANZ an annual Membership Fee (in advance) at the rate previously determined by and advertised by WDANZ.
- While WDANZ Members may be invited to make comment or advise on strategy through the WDANZ Forums and otherwise, WDANZ offers no management or voting rights of WDANZ, which shall remain in the control of the company.
- The WDANZ Member shall be permitted to advertise their WDANZ Membership (should they so wish to) according to the category of Membership as advertised on www.wdanz.org.nz
- The WDANZ logo is owned by WDANZ and is licensed for use by the WDANZ Member for the period of current WDANZ Membership only.
- WDANZ supplied verification source code shall be used in all instances of use of the WDANZ logo on a WDANZ Member website
- Any WDANZ Member may cancel their WDANZ Membership at any time.
- If the WDANZ Member cancels their membership within 30 days of joining, a refund will be payable, calculated as 50% of Membership Fee paid less any discounts received on additional services provided. After 30 days of joining no refund will be payable on cancellation.
- WDANZ may cancel or suspend any WDANZ Membership or service provided at any time for any reason, including but not limited to non-payment of an account, upon the expiry of any pre-paid Membership term, upon breach of the WDANZ Code of Ethics or upon breach of these Terms and Conditions.
- Upon cancellation by either party, the departing WDANZ Member shall remove all WDANZ marketing and branding materials from use within 7 days of cancellation.
- All Membership Fees are $NZD and include GST.
- Payments to WDANZ may be made by VISA, MasterCard, or by Internet Direct Payment.
- Payment is due on invoice.
- Interest will accrue on overdue accounts from the due date until paid at a rate of 2.5% per month.
- The WDANZ Member accepts and agrees to pay any enforcement costs in the event that the departing WDANZ Member fails to remove WDANZ logos or advertising and legal or other enforcement action is required.
- Collection costs are payable if incurred in collecting overdue monies.
- The laws governing this agreement will be the laws of New Zealand and the WDANZ Member irrevocably submits to the exclusive jurisdiction of New Zealand Courts.
- WDANZ may change these Terms and Conditions at any time effective upon one (1) months written notice to the WDANZ Member
- WDANZ respects the Privacy of all WDANZ Members and will display only information supplied by the WDANZ Member marked "for publication".
- Delivery of notices and communications from WDANZ shall be deemed delivered when delivered to the administrative E-Mail address supplied to WDANZ at the time of joining, and as maintained by the WDANZ Member thereafter.
